AGREEMENT FOR MEMBERSHIP IN THE CAPITAL PRIDE ALLIANCE, INC.

This agreement is made between the undersigned individual (hereinafter referred to as "applicant") and the Capital Pride Alliance, Inc. (hereinafter referred to as "CPA"). The member makes this application for membership in CPA which also conducts business under the trade name "Capital Pride" and by making such application for membership, the member agrees to the terms and conditions outlined in this membership agreement. The applicant understands that this agreement shall also apply to the applicant once the applicant has been accepted as a member of the organization, and understands that the term "applicant" shall also refer to the individual as a "member" once application for membership is made and accepted. The applicant understands that these terms and conditions shall be binding as a "member" of the organization as well.

1. The applicant understands that membership is voluntary and that the applicant shall receive no compensation of any sort for becoming a member of the CPA.
2. The CPA shall not charge any applicant any fee (membership or other) in order to obtain membership in CPA. The CPA may elect to solicit charitable contributions from members, but membership in the organization shall not be dependent on the applicant making contributions to the organization.
3. The applicant agrees to abide by all governing documents, policies and procedures as provided in the Member Policies and Procedures document, and/or other similar document(s), and understands that a failure to abide by such governing policies and procedures may result in the CPA revoking the applicant's membership in CPA.
4. The applicant agrees to abide by all direction and policies that may be provided via individual bulletins and/or memorandums and/or similar documentation, and understands that a failure to abide by such governing policies and procedures may result in the CPA revoking the applicant's membership in CPA.
 
5. The applicant understands that the CPA may amend, remove, and/or add policies and procedures at any time, and upon such amendments, removals, and/or additions of such policies the applicant shall have 15 calendar days to review the materials via the website or other similar electronic distribution venue and by continuing membership in the organization and/or by the silence of the applicant, the applicant shall accept all modified policies and procedures. If the applicant does not agree to abide by such modified policies and procedures, the applicant must notify the CPA in writing before the end of the 15 calendar day review period of the applicant's withdrawal from the organization.
6. The applicant understands that the CPA may amend or modify this document, commonly referred to as Membership Terms and Conditions, at any time and upon such modification the applicant shall have 15 calendar days to review the materials via the website or other similar electronic distribution venue and by continuing membership in the organization and/or by the silence of the applicant, the applicant shall accept all modified policies and procedures. If the applicant does not agree to abide by such modified policies and procedures, the applicant must notify the CPA in writing before the end of the 15 calendar day review period of the applicant's withdrawal from the organization.
7. The applicant understands that as a member the applicant may not act as an agent of the CPA and/or Capital Pride and enter into binding agreements or give the appearance of having such authority to negotiate for, speak on behalf of, or act as any sort of agent or representative for the CPA and/or Capital Pride without the express, written consent of the President of the Board of Directors or his or her designee.
 
8. The applicant will refrain from any form of discrimination, harassment, derogatory, illegal, or unethical conduct, and I understand that if the applicant engages in such conduct, the applicant may be responsible to reimburse CPA or other individuals involved with CPA for any damages, losses, or costs resulting from conduct of the applicant.
9. The applicant understands that Alliance programs, including but not limited to the annual Capital Pride celebration and associated meetings and events, are conducted by volunteers who may not be effectively screened or supervised CPA.
10. The applicant agrees to release and discharge CPA, its members, governing bodies, directors, operators, agents, vendors, and representatives from any liability for the intentional or negligent acts or omissions of any member, volunteer, director, or officer of CPA both now and in the future.
11. HOLD HARMLESS CLAUSE. The applicant agrees to indemnify and hold harmless the Capital Pride Alliance, Inc. ("CPA"), its agents, employees or any other person against loss or expense including attorneys fees, by reason of the liability imposed by law upon CPA, except in cases of the CPA's sole negligence, for damage because of bodily injury, including death at any time resulting there from, sustained by any person or persons, or an account of damage to property arising out of or in consequence of this agreement, whether such injuries to persons or damage to property are due or claim to be due to any passive negligence of the CPA, its employees or agents or any other person. It is further understood and agreed that the applicant shall (at the option of the CPA) defend the CPA with appropriate counsel and shall further bear all costs and expenses, including the expense of counsel, in the defense of any suit arising hereunder.
 
12. The applicant agrees to act in good faith with regard to CPA and Capital Pride, and agrees not to distribute disparaging, false, inaccurate, confidential, and/or private information with regard to the organization and its operations.
13. In consideration for accepting these terms and conditions, CPA shall provide the applicant with membership in the organization; the ability to participate in programs and events which may include but not be limited to the annual Capital Pride celebration and associated programs and events; access to online information; and access to general membership meetings.
14. Membership in the organization is completely voluntary, and either party may revoke membership at anytime with or without cause. An applicant who wishes to withdraw from membership in the organization may do so may notifying the organization in writing. The CPA may revoke the membership of any applicant at any time by notifying the applicant in writing.

BY SUBMITTING AN APPLICATION FOR MEMBERSHIP WITH CPA, THE APPLICANT VOLUNTARILY AGREES TO ACCEPT AND ABIDE BY ALL TERMS AND CONDITIONS WITHIN. THE APPLICANT AGREES BY HIS OR HER ELECTRONIC SIGNATURE TO BE BOUND TO THESE TERMS AND CONDITIONS OF MEMBERSHIP.
